1. Purpose
These terms apply to any information the respondent provides while completing Jovi’s Revenue Discovery Assessment (the “RDA”). The purpose of these terms is to ensure that the respondent’s operational, financial, and revenue-related information is treated as confidential.

2. Confidential Information
“Confidential Information” means all information the respondent submits through the RDA, including details about pipeline, customers, internal processes, systems, tools, performance metrics, risks, and any other information that is not publicly available.

3. How Jovi Uses the Information
Jovi uses the respondent’s Confidential Information only to:
• analyze revenue drift and operational patterns,
• prepare the respondent’s RDA output, and
• communicate findings and recommendations back to the respondent.

Jovi does not use the information for marketing, resale, training datasets, competitive analysis, or any purpose other than preparing the respondent’s assessment.

4. Non-Disclosure
Jovi will not disclose the respondent’s Confidential Information to any third party without the respondent’s written permission, unless required by law or regulation.

5. Protection of Information
Jovi will handle Confidential Information with reasonable care and will maintain administrative, technical, and organizational safeguards designed to protect it from unauthorized access, disclosure, or misuse.

6. Exclusions
Confidential Information does not include information that:
• becomes publicly available through no action by Jovi,
• was already known to Jovi without confidentiality obligations,
• is independently developed by Jovi without reference to the respondent’s information, or
• is received from another source without confidentiality restrictions.

7. Term
These confidentiality obligations begin when the respondent submits the RDA and remain in effect for three (3) years from the submission date unless otherwise agreed in writing.

8. No Transfer of Ownership
All Confidential Information remains the property of the respondent.
All frameworks, methods, and intellectual property used by Jovi remain the property of Jovi.

9. No Warranty (Standard NDA Disclaimer)
Jovi does not make commitments about the completeness or accuracy of information provided through the RDA, and the respondent is responsible for the accuracy of disclosures they submit.

10. Governing Law
These terms are governed by the laws of the state of Delaware, without regard to its conflict-of-law rules.

11. Acceptance
By selecting the confidentiality agreement checkbox in the RDA, the respondent acknowledges that they have reviewed these terms and agree that their RDA responses will be handled under these confidentiality obligations.
